French family group Dellen, through its software division SoftNext, completed the acquisition of OfiPro, a SaaS business management editor based in A Coruña (Galicia), in late September 2026 (webcapitalriesgo.com, 28 Sep 2026). OfiPro, a long-standing player in the Spanish SME market with over 35 years of presence (M&A Weekly, 28 Sep 2026), retains its brand, its six-person team, and its operations from Oleiros. The transaction amount was not disclosed.

Context: SoftNext Accelerates Its Buy-and-Build Strategy in Spain

Dellen is a French family investment group founded in 2003 by Pierre Baelen, which has progressively built nine business divisions through the acquisition of more than fifty companies (webcapitalriesgo.com). Its software arm, SoftNext, created in 2017, has already completed over 40 acquisitions across various software niches and reports revenues of approximately €100 million with an EBITDA of €30 million (encapsulados.tv, Sep 2026).

OfiPro Soluciones, founded by José Luis Rocha, publishes a SaaS ERP that integrates invoicing, sales management, accounting, point-of-sale, and inventory management in a single platform aimed at Spanish SMEs and professional firms. With annual revenues of €1.3 million and six employees, OfiPro is a niche player deeply embedded in the Iberian market (ibid.). The acquisition fits the broader logic of ERP consolidation across Europe, where buy-and-build groups acquire profitable vertical software vendors to bundle them under a unified portfolio.

Impact for Businesses

For OfiPro customers, continuity is the official message: brand, team, and operations remain local in Oleiros. This is the textbook scenario for the first phase post-acquisition. The real questions emerge at 18–24 months: product roadmap, pricing conditions, and local support levels will be the indicators to watch as SoftNext integrates OfiPro into its portfolio.

For Galician and Spanish SMEs evaluating ERP solutions, this deal illustrates a structural trend: independent ERP editors of modest size are becoming increasingly rare. A vendor acquired by a financial group is not necessarily less reliable — SoftNext claims a long-term approach with no pressure for quick resale — but buyers must now negotiate data portability clauses and maintenance commitments contractually, not just verbally.

For IT decision-makers comparing Spanish solutions, OfiPro is no longer a fully independent player. SoftNext has not communicated a specific post-acquisition product roadmap. The next 12 months will reveal whether integration remains light (OfiPro operating autonomously within the group) or whether a migration to SoftNext infrastructure is planned.
